ملخص:
شركة المساهمة البسيطة هي شكل مستحدث من الشركات الأموال تبناها المشرع في أخر تعديل رقم 22 -09 المعدل والمتمم للأمر رقم 75-59 المتضمن القانون التجاري باعتبار هذه الشركة الإطار القانوني الأكثر ملائمة للمؤسسات الناشئة، وذلك نظرا للخصائص التي تمتاز بها هذه الشركة عن باقي الشركات التجارية الأخرى، والتي تكمن في سهولة وبساطة إجراءت تأسيسها وطبيعتها التي يغلب عليها الطابع العقدي. Abstract The Simplified Joint Stock Company (SAS) is a newly introduced form of capital company adopted by the legislature under the recent amendment No. 22-09 which amended and supplemented Ordinance No. 75-59 governing the Commercial Code. This company structure is considered the most suitable legal framework for startups due to the distinct characteristics that set it apart from other commercial entities. These features lie in the ease and simplicity of its establishment procedures and its inherently contractual nature, which prioritizes flexibility and adaptability. |
