ملخص
تناولت هذه المذكرة موضوع حوكمة الشركات التجارية في التشريع الجزائري باعتبارها من أهم الآليات الحديثة التي تهدف إلى تعزيز الشفافية والرقابة داخل الشركة، وتحقيق التوازن بين المصالح المختلفة للأطراف المرتبطة بها من المساهمين والإدارة. وقد برزت أهمية الحوكمة نتيجة الأزمات المالية والانهيارات الاقتصادية التي شهدتها العديد من الشركات العالمية، مما دفع الدول إلى تبني قواعد قانونية وتنظيمية لضمان التسيير والإدارة الرشيدة. وتسعى الجزائر من خلال إصلاحاتها القانونية والاقتصادية إلى تكريس مبادئ الحوكمة داخل الشركات الجزائرية التجارية عبر وضع نصوص قانونية وتنظيمية تهدف إلى تعزيز الشفافية وحماية حقوق الشركاء والمستثمرين، كما أن تطبيق الحوكمة يساهم في تحسين أداء الشركات وزيادة قدرتها التنافسية، إضافة إلى مكافحة الفساد الإداري والمالي. وقد عالجت هذه المذكرة مفهوم حوكمة الشركات التجارية وأهم مبادئها، مع إبراز الجهود التي قامت بها الجزائر لتطبيقها، إلى جانب التحديات والصعوبات التي تعيق تفعيلها بشكل فعال داخل الشركات التجارية. Abstract: This thesis explores the topic of Corporate Governance within Algerian legislation as one of the most significant modern mechanisms aimed at enhancing transparency and oversight within companies. It seeks to achieve a balance between the diverse interests of related parties, including shareholders and management. The importance of governance emerged following the financial crises and economic collapses experienced by many global corporations, which prompted nations to adopt legal and regulatory frameworks to ensure sound management and rational administration. Through its legal and economic reforms, Algeria strives to establish governance principles within Algerian commercial companies by implementing legal and regulatory texts designed to bolster transparency and protect the rights of partners and investors. Furthermore, the application of governance contributes to improving corporate performance, increasing competitiveness, and combating administrative and financial corruption. This thesis addresses the concept of corporate governance and its core principles, highlighting Algeria's efforts toward its implementation, as well as the challenges and obstacles that hinder its effective activation within commercial enterprises. |
