الملخص
تتميز الشركة ذات المسؤولية المحدودة عن الشركات التجارية ا؟لأخرى بصفة خاصة بها فهي لا تحتاج إلى رؤوس أموال ضخمة سهلة التأسيس بسيطة الإجراءات وتتماشى مع المشروعات الاقتصادية الصغيرة والمتوسطة التي تراهن عليها الدولة للنهوض بالاقتصاد الوطني،ذلك مادعى المشرع الجزائري إلى إدخال تعديلات قانونية متتالية على الأحكام التي تنظم هذا النوع من الشركات مست بالخصوص القواعد الموضوعية الخاصة بتأسيسها،ابتداءا من المرسوم التشريعي93-08المعدل والمتمم للأمر 75-59المتضمن القانون التجاري،وصولا إلى التعديل الأخير بموجب القانون 15-20الصادر في 30 سبتمبر2015. Abstract Limited liability companies (LLCs) are distinguished from other commercial companies by several characteristics: they do not require large capital investments, are easy to establish, have simple procedures, and are well-suited to small and medium-sized enterprises (SMEs), which the state relies on to boost the national economy. This has led the Algerian legislature to introduce successive legal amendments to the provisions governing this type of company, particularly those concerning the substantive rules for its establishment. These amendments began with Legislative Decree 08-193, which amended and supplemented Ordinance 59-75 containing the Commercial Code, and culminated in the most recent amendment under Law 20-15, issued on September 30, 2015. |
