تبنى المشرع الجزائري في تعديله الأخير للقانون التجاري لسنة 2022 استحداث شركة المساهمة البسيطة ككيان قانوني مستقل عن الشركات التجارية التقليدية. وتتميز هذه الشركة بنظام تسييري وخصائص فريدة تخضع أساساً للأحكام المنصوص عليها في القانون رقم 22-09، مع تطبيق القواعد العامة لشركات المساهمة في الحالات التي لا يوجد فيها تعارض قانوني. وقد قصر المشرع إمكانية تأسيس هذا النوع من الشركات حصرياً على الشركات الحاصلة على علامة "مؤسسة ناشئة". ويهدف هذا التوجه التشريعي إلى تنشيط الاقتصاد الوطني، ودعم الاستثمارات القائمة على الابتكار، والمساهمة في معالجة أزمة البطالة.
Abstract In its latest amendment to the Commercial Code in 2022, the Algerian legislator adopted the creation of the Simple Joint Stock Company (SAS) as a legal entity independent of traditional commercial companies. This company is characterized by a unique management system and specific features governed primarily by the provisions set forth in Law No. 22-09, with the general rules of joint-stock companies applied where no legal conflict exists. The legislator has restricted the establishment of this type of company exclusively to firms holding the "Startup" label. This legislative direction aims to revitalize the national economy, support innovation-based investments, and contribute to addressing the unemployment crisis. The keywords of this research focus on the Simple Joint Stock Company (SAS), a legal structure designed specifically for"Startups". This regulatory framework, which allows for a Single-person Joint Stock Company, is established under Law No. 22-09. |
