ملخص: تناولت هذه الدراسة موضوع شركة المساهمة البسيطة في التشريع الجزائري، من خلال بيان مفهومها وخصائصها والشروط القانونية المتعلقة بتأسيسها وتسييرها، مع التركيز على خصوصية هذا الشكل القانوني القائم على المرونة والحرية التعاقدية. كما تم التطرق إلى مظاهر مرونة الإدارة وآليات اتخاذ القرارات داخل الشركة، ومدى جاذبيتها للمستثمرين، خاصة في ظل توجه المشرع الجزائري نحو دعم المؤسسات الناشئة وتحسين مناخ الاستثمار. وخلصت الدراسة إلى أن الشركة المساهمة البسيطة تمثل إطارا قانونيا مرنا يستجيب لمتطلبات الاستثمار الحديث، غير أن فعاليتها تظل مرتبطة بمدى تجاوز بعض التحديات القانونية والعملية، وتطوير الإطار التنظيمي بما يعزز قدرتها على استقطاب المستثمرين ودعم المشاريع الابتكارية.
Abstract: This study examines the Simplified Joint-Stock Company under Algerian legislation, by addressing its concept, characteristics, and the legal requirements governing its establishment and management, with particular emphasis on the flexibility and contractual freedom underlying this legal form. It also explores the flexibility of management and decision-making mechanisms within the company, as well as its attractiveness to investors, particularly in light of the Algerian legislator's efforts to support startups and improve the investment climate. The study concludes that the Simplified Joint-Stock Company provides a flexible legal framework that responds to the requirements of modern investment. However, its effectiveness remains dependent on overcoming certain legal and practical challenges and further developing the regulatory framework in order to enhance its ability to attract investors and support innovative projects. |
