ملخص:
يمثل مبدأ الفصل بين السلطات الإطار الذي يحدد العلاقة بين القائمبن بالإدارة وأجهزة الرّقابة بغرض تفعيل مبادئ حوكمة الشّركة، من أجل إيجاد تصوّر جديد لإدارة رشيدة وذلك من خلال توزيع السّلطات بين مجلس المديرين ومجلس المراقبة داخل شركة المساهمة (النمط الثنائي)، على خلاف ممارسة السلطة داخل شركة المساهمة ذات مجلس الإدارة (ذات التسيير الأحادي). Abstract : The principle of separation of powers establishes the Framework that governs the relationship between managment and oversight bodies with the aim of implementing corporte governance pinciples. It seeks to estabish a neww model for sound management through the distribution of powers between the board of directors annd the supervisory board in a dual-board system as oppesed to the exercise of authority within a single-tier join-stock company monistic model. |
