تتميز شركات المساهمة كأحد أهم أشكال الأموال بنظام معقد، على خلاف شركة المساهمة البسيطة التي تتميز بالمرونة، ويظهر تميز إلى شركة المساهمة بالنظر إلى مراحل تأسيسها، سواء من خلال مرحلة ما قبل القيد أو ما يطلق عليها بمرحلة الشركة في فترة التأسيس أو المرحلة اللاحقة إلى غاية عملية النشر والشهر، وبسبب تراجع فكرة العقد خاصة في مرحلة التكوين أو بمناسبة مباشرة إجراءات التأسيس، يظهر دور النظرية المؤسساتية في تنظيم الإجراءات سواء بالنسبة للشركات التي تلجأ للادخار العلني أو تلك التي لا تلجأ للادخار (الادخار المغلق).
وعليه فإن التساؤل يطرح حول مظاهر تطبيق فكرة النظام على مراحل تأسيس شركة المساهمة. Abstract : Joint-stock companies, as one of the most important forms of capital, are characterized by a complex system, unlike simple joint-stock companies, which are characterized by flexibility. The distinctiveness of a joint-stock company is evident in its various stages of establishment, from the pre-registration phase (the company's formation period) to the subsequent phase leading up to publication and registration. Due to the diminishing role of the contract, particularly during the formation phase or when initiating the incorporation procedures, the role of institutional theory becomes apparent in regulating these procedures, whether for companies that utilize public savings or those that do not (closed savings). Therefore, the question arises as to how the concept of a system is applied to the stages of establishing a joint-stock company. |
